1. Acceptance of Terms

By accessing or using the K12Launch LLC platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. The Service is provided by K12Launch LLC ("Company," "we," "us," or "our").

2. Description of Service

K12Launch LLC provides a structured literacy skill tracking and progress monitoring platform designed for reading tutors and educational professionals. The Service enables tutors to record, track, and report on student reading skill development.

3. User Accounts and Roles

The Service supports two user roles:

• Tutors — Registered educators who create and manage student records, track skill assessments, and generate progress reports for their own assigned students.
• Administrators (Owners) — Platform administrators who oversee all tutor accounts and student records for operational, quality assurance, and compliance purposes.

You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately of any unauthorized use of your account.

4. Student Data Privacy and Educational Records

We are committed to protecting the privacy of student educational information. The following principles govern the handling of student data:

4.1 Data Access Restrictions

• Tutors may only access, view, create, edit, and delete records for students they have personally registered and are assigned to. Tutors cannot view or interact with any other tutor's student data.
• Administrators have read access to all student records and tutor accounts solely for the purposes of platform oversight, quality assurance, and compliance with applicable law.
• No other parties — including other tutors, unauthorized staff, or third parties — may access student records through the Service.

4.2 Student Information Collected

The Service may collect and store the following student-related information:

• Student first and last name
• Student email address
• Parent/guardian name, email, and phone number
• Location zip code
• Instructor/tutor name
• Structured literacy skill assessment data (reading skill levels, mastery status, notes)
• Unique student identification codes generated by the platform

4.3 FERPA Compliance

We recognize the importance of the Family Educational Rights and Privacy Act (FERPA) and similar student privacy regulations. While K12Launch LLC operates as a tool for independent tutors and is not a direct educational agency or institution, we are committed to handling student educational records with the same care and protections contemplated by FERPA:

• Student records are treated as confidential educational information and are not disclosed to unauthorized third parties.
• Parents and guardians have the right to request access to their child's records held by their assigned tutor and to request corrections.
• Tutors are responsible for obtaining any necessary parental or guardian consent before entering student information into the Service.

4.4 COPPA Considerations

If a student is under the age of 13, the tutor must ensure that appropriate parental or guardian consent has been obtained before entering the student's personal information into the Service, in accordance with the Children's Online Privacy Protection Act (COPPA). The Service does not knowingly collect personal information directly from children under 13.

5. Data Security

We employ industry-standard security measures to protect student and user data, including:

• Encrypted data transmission (HTTPS/TLS)
• Row-level security policies ensuring data isolation between tutor accounts
• Authenticated access with secure session management
• Role-based access controls enforced at the database level

While we strive to protect your data, no method of transmission over the Internet or electronic storage is 100% secure. We cannot guarantee absolute security.

6. Tutor Responsibilities

As a tutor using the Service, you agree to:

• Only enter accurate and necessary student information.
• Obtain appropriate consent from parents or guardians before entering student data, particularly for students under 13 years of age.
• Not share your account credentials with any other person.
• Not attempt to access another tutor's student data.
• Use student data solely for legitimate educational purposes related to reading instruction.
• Promptly notify the Company of any data breach or unauthorized access to student records.

7. Data Retention and Deletion

Student records are retained for as long as the tutor account is active and the student is enrolled. Tutors may delete individual student records at any time. Upon request, the administrator may delete a tutor's account and all associated student data. After account deletion, data may be retained in backups for a limited period consistent with our backup retention policy before being permanently removed.

8. Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose.
• Sell, share, or disclose student data to third parties without proper authorization.
• Attempt to circumvent security controls or access restrictions.
• Use automated scripts, bots, or scraping tools to extract data from the Service.
• Interfere with or disrupt the Service's infrastructure.
• Copy, reproduce, distribute, or create derivative works from any part of the Service, including but not limited to its content, reports, assessment frameworks, and user interface.

9. Intellectual Property & Trademarks

The Service, including its design, features, content, structured literacy assessment framework implementation, reports, tools, and all associated documentation, is the intellectual property of K12Launch LLC. All rights are reserved.

Patent Pending. Aspects of the technology, methods, and systems used in this Service are the subject of one or more pending patent applications.

"K12Launch," the K12Launch logo, "Structured Literacy Student Report," and all related names, marks, logos, product and service names, designs, and slogans are trademarks or service marks of K12Launch LLC or its affiliates. You may not use such marks without the prior written permission of K12Launch LLC. All other names, logos, product and service names, designs, and slogans on this Service are the trademarks of their respective owners.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any materials from this Service without the prior written consent of K12Launch LLC, except as expressly permitted by these Terms.

10. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. THE COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID FOR USE OF THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless K12Launch LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including the privacy rights of students and their families.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Service. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. We will make reasonable efforts to notify active users of material changes.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. Provisions relating to data privacy, limitation of liability, and indemnification shall survive termination.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State in which K12Launch LLC is incorporated, without regard to its conflict of law provisions.
